Armadillo Distribution Enterprises and Concordia LLC have filed for voluntary Chapter 11 protection as part of a planned financial reorganization. The companies say the move is intended to restructure financial obligations while keeping normal business operations in place for Dean Guitars, Luna Guitars and ddrum.
The filing was made on June 9, 2026, in the Middle District of Florida. Concordia LLC is the intellectual property holding company for the Dean Guitars, Luna Guitars and ddrum brands, while Armadillo Distribution Enterprises serves as the authorized operating company.
Chapter 11 Filing Aims to Support Continued Operations
According to the companies, Chapter 11 provides a court-supervised process that allows them to reorganize financially while continuing to operate. Armadillo and Concordia said they have filed customary first-day motions seeking authorization to continue paying employee wages and benefits, as well as to maintain vendor and dealer relationships without interruption.
“This is a proactive step to strengthen our financial foundation and position these iconic brands for long-term success,” said Pamela Keris, owner and CEO. “Resolving the financial pressures of recent years allows us to focus fully on growing what we’ve built.”
Keris added that the companies remain committed to customers, dealers and employees, describing Dean, Luna and ddrum as strong brands that can emerge from the process as a more resilient organization.
Dean Guitars, Luna Guitars and ddrum to Continue Under Concordia Ownership
Concordia LLC will retain full ownership of the intellectual property associated with Dean Guitars, Luna Guitars and ddrum throughout the reorganization process. The companies also stated that existing orders, dealer relationships and customer commitments will continue to be honored without interruption.
That point is significant for retailers, distributors and musicians who rely on the brands. Armadillo’s statement positions the Chapter 11 process as a restructuring effort rather than a halt in business activity.
